Job Overview

We are seeking a Company Secretary to ensure the company complies with Malaysia Companies Act 2016, corporate governance best practices, and regulatory requirements. The ideal candidate will be responsible for managing statutory records, advising the board on legal and compliance matters, and ensuring smooth corporate operations.

Key Responsibilities

1. Corporate Governance & Compliance

  • Ensure compliance with Companies Act 2016 and SSM (Suruhanjaya Syarikat Malaysia) regulations.
  • Prepare and submit annual returns, board resolutions, and statutory documents.
  • Maintain and update company registers and records.
  • Advise directors and shareholders on their statutory rights and responsibilities.

2. Board & Shareholder Meetings

  • Organize and attend AGMs, EGMs, and board meetings.
  • Prepare board papers, resolutions, and minutes.
  • Ensure timely execution and filing of resolutions.

3. Liaison with Regulatory Authorities

  • Act as the primary contact with SSM, Bursa Malaysia, Securities Commission, and other regulatory bodies.
  • Handle corporate filings, licensing, and permits.

4. Risk Management & Advisory

  • Identify and mitigate corporate compliance risks.

5. Documentation & Filing Management

  • Maintain proper record-keeping of statutory books and documents.
  • Ensure timely submission of documents via MYCOID, MBRS, and e-stamping platforms.

6. Stakeholder Management

  • Liaise with external auditors, legal advisors, tax agents, and regulatory bodies.
  • Assist in handling shareholder disputes and governance matters.

Qualifications

🎓 Chartered Secretary (ICSA/MAICSA) or equivalent qualification

🎓 Bachelor’s Degree in Law, Business Administration, Finance, or related field

🎓 Minimum 3-5 years of experience in a similar role
